7. User Eligibility & Representations

By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You will use the Service in compliance with all applicable laws and regulations

• You understand this is an AI research tool, not professional advice
• You will verify all critical information independently

8. Prohibited Uses & Conduct

You agree NOT to use the Service for:

Commercial Misuse

Refund Policy

Cancellation

10. Disclaimer of Warranties

To the maximum extent permitted by law, we explicitly disclaim ALL warranties, including:

• Data Quality: No warranty regarding accuracy, completeness, or currentness of any data
• Merchantability: No warranty that the Service is suitable for any particular purpose
• Fitness for Purpose: No warranty that the Service will meet your needs or expectations
• Results: No warranty that use will produce any particular outcome or business success
• Availability: No warranty of uninterrupted, timely, or error-free operation
• Security: No warranty that the Service is free from viruses or security vulnerabilities
• Third-Party Services: No warranty regarding availability or accuracy of external data sources

Service Issues

• Downtime: Service interruptions, outages, or unavailability
• Errors & Bugs: Software defects, calculation errors, or AI malfunctions
• Third-Party Failures: Failures of BLS, APIs, or other data providers
• Usage Limits: Inability to access Service due to reaching monthly limits

Indirect & Consequential Damages

• Any indirect, incidental, special, consequential, or punitive damages
• Damage to business or personal reputation
• Emotional distress or mental anguish

Jurisdictional Note: Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bynyz and its owners, operators, employees, contractors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including attorneys' fees) arising from:

• Your Decisions: Any business, investment, or financial decisions based on AI-generated content or data from the Service

This indemnification obligation survives termination of your account and these Terms.

13. Account Termination & Suspension

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including:

• Terms Violations: Any breach of these Terms or policies
• Payment Issues: Failed payments, chargebacks, or payment disputes
• Suspected Fraud: Suspected fraudulent, abusive, or illegal activity
• Usage Abuse: Attempts to circumvent subscription limits
• API Abuse: Excessive requests or system resource consumption
• Legal Requirements: Compliance with court orders or legal demands
• No Reason: At our sole discretion without explanation

Consequences of Termination

• Immediate loss of access to your account and all data
• Forfeiture of any remaining subscription credits or searches
• No refunds for unused subscription periods
• Deletion of account data per our retention policies

Your Termination Rights: You may cancel your subscription at any time by emailing support@bynyz.com. Cancellation does not relieve you of payment obligations for the current billing period.

14. Governing Law & Jurisdiction

Governing Law: These Terms shall be governed by the laws of the Czech Republic, without regard to conflict of law principles.

Jurisdiction: Any disputes shall be resolved in the courts of Prague, Czech Republic. You consent to the exclusive jurisdiction of these courts.

International Users: If you access the Service from outside the Czech Republic, you are responsible for compliance with local laws. The Service may not be available in all jurisdictions.

15. Intellectual Property Rights

Ownership: All content, features, software, designs, graphics, logos, trademarks, and intellectual property in the Service are the exclusive property of Bynyz or its licensors and are protected by international intellectual property laws.

Restrictions

You may NOT:

• Copy, reproduce, modify, or create derivative works from the Service
• Reverse engineer, decompile, or attempt to derive source code
• Remove copyright notices, trademarks, or proprietary markings
• Use our trademarks or branding without permission
• Use automated tools to scrape or extract content beyond your subscription limits

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes only, subject to your subscription limits. This license terminates upon violation of these Terms.

16. Privacy & Data Protection

You may NOT assign these Terms or your account to any third party without our prior written consent.

We may assign these Terms to any affiliate, successor, or purchaser of our business at any time without notice.

25. Survival

The following sections survive termination: No Professional Advice, Data Accuracy Disclaimer, Securities Compliance, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Intellectual Property, and any other provisions that by their nature should survive.
